Employee Code of Conduct

Introduction

This Employee Code of Conduct outlines the standards and behaviors we expect, to ensure mutual respect, honestly, integrity and appropriate behavior when dealing with our colleagues, customers, suppliers, or any other stakeholders and or persons.

We expect all Redgate employees (Redgaters) to maintain these standards and behaviors. While it is important to read and understand the code of conduct, if Redgaters are living by our core values (that can be found here), it is likely that they will be acting in line with key aspects of the code of conduct.

Scope

This policy covers all employees, officers, directors, consultants, contractors, volunteers, interns, agency workers, and any other individual who is engaged with and/or by Redgate.

Policy

Redgate is committed to maintaining a professional, ethical, and inclusive environment and by adhering to this code of conduct, we contribute to Redgate being a positive, safe, and productive workplace for everyone.

Professionalism and Respect

Redgate expects all our employees to treat each other, our customers, suppliers and any other stakeholder and person with respect, professionalism, and courtesy. Any form of discrimination, harassment, bullying, or any form of disrespectful behavior is not acceptable, regardless of the circumstances.

Compliance with Laws

All Redgate employees must comply with all applicable laws, regulations, and company policies. These include, but are not limited to, laws governing intellectual property, data privacy, confidentiality and health and safety.

Confidentiality and Data Security

All Redgate employees must maintain the confidentiality of Redgate’s data, including customer and employee information. This includes safeguarding sensitive information, trade secrets, proprietary information, and any other confidential materials created by and / or for Redgate. Intellectual Property

All Redgate employees will have access to and may develop Redgate intellectual property. Redgate highly values its intellectual property (including images; campaign ideas; computer code and trademarks - to name a few) and we want to ensure that all employees understand the importance of protecting our intellectual property rights and the intellectual property rights of others. Do not discuss confidential information with people outside the company (see Confidentiality).

Diversity, Equity, Inclusion & Belonging (DEIB)

Redgate has reviewed what DEIB means to us and identified following the commitments as we continue to progress and iterate on our approach:

Anti-bribery, including Gifts and Entertainment

Some Redgate employees may from time to time receive gifts or receive invites to attend corporate entertainment, external lunches, or evening meals etc. It is important that Redgate employees take the appropriate professional steps when deciding whether giving and/or receiving a gift or entertainment is acceptable and appropriate.

Redgate employees must not engage in any form of bribery, corruption, and /or unethical practices.

Social Media and Online Conduct

When Redgate employees are representing the company online using social media, they should be mindful of the content and avoid sharing or posting any content that could cause damage to Redgate’s reputation and /or violate confidentiality, privacy, or intellectual property rights.

Whistleblowing

Redgate is committed to conducting our business with honesty and integrity and we expect everyone at Redgate to maintain the highest level of standards.

If you believe that a criminal offense has been committed or may be committed, that the company is in breach of a legal obligation, that there is a health & safety risk or possible danger to the environment or you are worried about potential conflict of interest or bribery, please inform the Head of HR, General Counsel or alternatively contact Whistlelink (as described in our Whistleblowing policy).

Modern Slavery

Redgate is a strong advocate of Human Rights and the Human Rights Act and is committed to preventing any form of modern slavery within our own network and globally.

Suppliers

All Redgate employees are dedicated to ensuring that its standards are upheld by its suppliers.

When engaging with a Supplier it is important to consider several factors and Redgate has implemented a Software Governance team to ensure the appropriate level of due diligence is undertaken prior to engaging with the Supplier.

Signing Contracts

Redgate employees must send all the contracts listed below to:

  • Customer Non-Disclosure Agreements/Confidentiality Agreement

  • Consultancy agreements
  • All non-customer Non-Disclosure Agreements/Confidentiality Agreement
  • Data Protection Agreements, OR
  • Any other type of agreement that requires a signature

These documents will then be reviewed, and if acceptable, approved and signed.

Only Redgate employees who are nominated signatories are authorized to sign any item listed above.

Reporting Violations

Redgate employees have a duty to report any suspected violations of this Code of Conduct promptly. All Reports can be made either to compliance@red-gate.com or via our Whistleblowing platform Whistlelink.

Consequences of Non-Compliance

Redgate expect all employees to adhere to this Code of Conduct. The severity and consequences of the non-compliance will be assessed on a case-by-case basis, considering the nature and circumstances of the non-compliance.

Definition of Representing Redgate

Representing Redgate means; where employees, officers, directors, consultants, contractors, volunteers, interns, agency workers, and any other individual could be seen and/or potentially seen as part of Redgate by, for example, wearing a Redgate t-shirt/hoodie at an event or whilst on social media.

Monitoring and Review

This policy will be monitored, and procedures reviewed, and may be updated from time to time to ensure they remain adequate.
